BILL MASON practices in two areas, pensions & employee benefits, and technology transfer & commercialization.

Pension & Employee Benefits. Design, documentation, administration, audit, litigation, termination and qualification of all employee health and welfare and pension plans for both public and private employers. Counsel with Plan fiduciaries on ERISA and state law obligations. 401(k), Cafeteria (125), ESOPs, Profit-Sharing, Defined Benefit Pension, 403(b) (tax sheltered annuity), nonqualified deferred compensation (including 457 and 409A), supplemental executive retirement, stock options, health, auto leasing, day care assistance plans. The Firm sponsors various prototype retirement plans. The Firm represents clients before various agencies involved in employee benefit regulation, including the IRS Employee Plans Compliance Resolution System, and IRS and Department of Labor audits. COBRA, Immigration and Naturalization Service compliance, EEO compliance planning. Fair Labor Standards Act compliance and audit. Employee handbooks. Employee terminations, layoffs, and disciplinary action. All aspects of the Employer-Employee relationship.

Technology Transfer & Commercialization. Intellectual property licenses, material transfer agreements, inter-institutional agreements, non-disclosure agreements, technology demonstration project agreements and management, operating and grant agreements, research funding and agreements. Organization, maintenance, reorganization, redemptions, liquidation of business entities, corporations, partnerships. Bank and private financing, business planning. Business start-ups. Annual corporate minutes and filings. Organization and application to IRS for 501(c)(3) tax exempt determination. Audits, maintenance and contracting. Board meetings and minutes.

Bill has practiced employee benefits law for 35 years. He was admitted to the Tennessee bar, 1974; United States Supreme Court, 2004; Eastern District of Tennessee, 1990. University of Illinois (B.S., with high honors, 1970); Harvard Law School (J.D., 1974). Certified Employee Benefit Specialist, 1993; Fellow, by examination, 1994 and 1995.
